TELGA AB Standard Terms of Sales and Delivery

1. Quotation

Quotations from Telga AB are in force up to 30 days from the date of the quotation. If the Customer changes the data that provided the basis of the quotation, the price will be corrected according to this. If the production is stopped at the request of the Customer, the PCBs that have already been produced will be delivered and invoiced.

2. Product Specifications

Telga AB products are produced according to the specifications unless anything else is explicitly agreed. The production data from the Customer is assumed similarly worked out according to specifications and is handled accordingly, unless the customer has stated something else in writing.

3. Delivery

The terms of delivery listed in the quotation form from Telga AB receipt of complete and usable production data. Provided that the production must be suspended due the conditions of the buyer, the time of delivery is prolonged proportional. Delivery terms are EXW Telga AB, Gaures 22, LT-5900, Taurage, Lithuania (Incoterms 2000). Unless something else is agreed Telga AB takes care of arranging a transport arrangement at the buyer’s expense and risk.

4. Tolerances of Delivery

Telga AB reserves the right to deliver 10% more or less than the ordered quantity. The customer is invoiced for the actual delivered numbers of PCBs.

5. Terms of Payment

Unless anything else is agreed the time of allowed for the payment is 30 days from the invoice date. By delayed payment 2% interest is charged per commenced month.

6. Right to Recall

In case Telga AB find defects of the delivered products Telga AB is entitled to recall these products for up to 4 weeks after delivery. Telga AB undertakes return and repairing costs.

7. Claim

By receipt of shipment from Telga AB the Customer is obliged to examine the products for defects. Claims for the defects must be forwarded in writing to Telga AB as soon as the defect is found at the latest two weeks from the receipt. Claims must contain information about the character of the defect and the number of defect PCBs. After receipt of the claim Telga AB will give the customer a return number, after which the customer must return all defect products supplied with the return number to Telga AB. Expenses and risks concerning the freight to Telga AB lie with the customer. Telga AB will examine the PCBs and tell the customer whether the claim is recognised.

8. Responsibility for Defects

Telga AB is only responsible for defects that are due to actual production defects at Telga AB. Telga AB is in the way not liable for defects due to for instance insufficient or incorrect information from the customer or the customer’s handling for use of the PCBs.

9. Rectification

In case to recognize claims Telga AB undertakes return or repairing of the defect PCBs within a time corresponding to the originally agreed time of delivery. The customer cannot claim any rights of non-fulfilment, unless there is separate written agreement about this.

10. Limitation and renunciation of responsibility

The Customer can in case of defects only demand repairing or return as mentioned in item 9. The Customer can in this way not demand compensation or a proportional reduction or cancel the agreement. Telga AB is not liable for damages in case of delays.

11. Product liability

In the mutual relationship between Telga AB and the Customer Telga AB is not liable for product liability damages, in cases where products with Telga AB PCBs cause damage like that. The customer is in that way bound to refund Telga AB expenses for any product liability obligations, which Telga AB may be confronted with, as Telga AB is entitled to implicate the customer in any lawsuits filled against Telga AB about this.

12. Force Majeure

In case of Force Majeure, of which is understood war, trade embargo, import or export prohibition, catastrophes of nature, strike lockout and similar conditions, Telga AB is not liable for damages towards the Customer.

13. Law and Venue

Disputes are settled according to Lithuanian law. Trials must be filed at the court in Taurage.
